These Terms of Use (“Terms”) apply to your use of spaceredi.com and related subdomains (the “Site”), operated by Space Redi, Inc., a Delaware corporation (“Space Redi,” “we,” “us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

01 · THE SITE AND OUR SERVICES

The Site provides general information about Space Redi and SPOK. Access to SPOK and any other products or services (the “Services”) is provided only under a separate written agreement with us, which governs that use and takes precedence over these Terms.

Requesting early access, joining a waitlist or signing up for updates does not create an obligation for either party, and we may offer, change or discontinue early-access and beta programs at our discretion.

02 · INFORMATION ON THE SITE

Content on the Site, including examples, descriptions of capabilities and figures from third-party sources, is provided for general information only. It is not operational, engineering, legal or financial advice, and it is not an offer or a commitment to provide any feature. Statements about future plans are forward-looking and may change.

03 · WHAT YOU SEND US

You are responsible for what you submit through the Site’s forms or send to us by email. Please do not send confidential information, technical data subject to export-control laws (such as ITAR- or EAR-controlled data), or other sensitive information through the Site. We will arrange appropriate channels and agreements for that kind of material.

If you give us ideas, suggestions or feedback, we may use them without restriction or obligation to you.

04 · ACCEPTABLE USE

When using the Site, you agree not to:

• break any law, or infringe or misappropriate anyone’s rights;
• interfere with, disrupt or attempt to gain unauthorized access to the Site or its systems;
• probe, scan or test the Site’s vulnerabilities without our written permission;
• submit automated, bulk, false or misleading form entries, or send spam or malicious code;
• use automated means to collect content from the Site in a way that burdens it or violates these Terms;
• impersonate anyone or misrepresent your affiliation with any person or organization.

05 · INTELLECTUAL PROPERTY

The Site and its content, including text, graphics, logos and software, are owned by Space Redi or its licensors and protected by intellectual-property laws. “Space Redi,” “SPOK” and our logos are our trademarks. You may view the Site and share links to it for your own informational purposes. Any other use, such as copying, modifying or redistributing Site content, requires our written permission. Third-party names and logos shown on the Site belong to their owners and do not imply endorsement.

06 · THIRD-PARTY LINKS

The Site may link to websites and services we do not control. We are not responsible for their content or practices, and your use of them is subject to their own terms.

07 · PRIVACY

Our Privacy Policy explains how we handle personal information collected through the Site.

08 · DISCLAIMERS

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

09 · LIMITATION OF LIABILITY

To the fullest extent permitted by law, Space Redi will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of the Site. Our total liability for any claim relating to the Site is limited to one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

10 · INDEMNITY

You agree to indemnify and hold Space Redi harmless from claims, losses and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or your violation of these Terms.

11 · EXPORT CONTROLS

You may not use the Site in violation of U.S. export-control or sanctions laws. Space Redi may decline to engage with, or provide information or Services to, any person or organization where required by those laws.

12 · GOVERNING LAW

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute relating to the Site or these Terms will be brought in the state or federal courts located in that state, and you consent to their jurisdiction.

13 · CHANGES AND TERMINATION

We may update these Terms from time to time by posting a new version here with a new effective date. Your continued use of the Site after a change means you accept the updated Terms. We may suspend or restrict access to the Site at any time, for example to protect it or its users.

14 · GENERAL

These Terms are the entire agreement between you and Space Redi about the Site, and do not change any separate written agreement you have with us. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms; we may assign ours.
